This Agreement governs the submission of music, recordings, lyrics, compositions, artwork, videos, biographies, promotional materials, and any other creative works ("Submissions") to Aureon Music Group ("Aureon", "we", "our", or "us") for review, evaluation, or potential commercial collaboration.

By submitting any material to Aureon, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

2. PURPOSE OF THIS AGREEMENT

The purpose of this Agreement is to:

Establish a fair submission process;

Protect both artists and Aureon;

Clarify ownership of submitted material;

Explain how submissions are reviewed;

Avoid misunderstandings regarding unsolicited submissions;

Have the consent of a parent or legal guardian where legally required;

Have the legal capacity to enter into this Agreement;

Possess the necessary rights to the submitted material;

Musical compositions;

Albums;

EPs;

6. ORIGINALITY REQUIREMENT

Unless expressly stated otherwise, all submitted material must be original or submitted with the full authority of the relevant rights holders.

You must not knowingly submit material that:

Infringes copyright;

Infringes trademarks;

Misappropriates another person's work;

Violates confidentiality obligations;

Breaches any applicable law or contractual obligation.

Aureon reserves the right to reject any submission that does not satisfy these requirements.

7. NO OBLIGATION TO SUBMIT

Submission of material to Aureon is entirely voluntary.

You are under no obligation to submit your work, and Aureon is under no obligation to accept or review any submission.

You remain responsible for deciding whether to submit your material.

8. ACCEPTANCE OF THIS AGREEMENT

By submitting any material to Aureon, you acknowledge and agree that:

This Agreement governs your submission;

Aureon may review your submission in accordance with this Agreement;

You have the authority to enter into this Agreement;

The information you provide is accurate;

You have read Aureon's applicable legal policies.

If you do not agree to this Agreement, you must not submit material to Aureon.

9. NO RECORDING OR PUBLISHING AGREEMENT

Submission of material does not mean that:

You have been signed as an Aureon artist;

Aureon has accepted your work;

Aureon will distribute your music;

Aureon will negotiate with you;

Aureon will offer you a recording agreement;

Aureon will offer you a publishing agreement;

Aureon will offer you any commercial opportunity.

Any future business relationship must be documented in a separate written agreement signed by both parties.

10. NO EMPLOYMENT OR AGENCY RELATIONSHIP

Nothing in this Agreement creates:

Employment;

Agency;

Partnership;

Joint venture;

Fiduciary relationship;

Exclusive representation.

Both parties remain independent.

11. NO CONFIDENTIAL RELATIONSHIP

Unless Aureon expressly agrees otherwise in writing before a submission is made, submissions are not received in confidence.

By submitting material, you acknowledge that:

Aureon may already possess similar ideas, concepts, melodies, lyrics, styles, themes, or projects;

Aureon receives numerous submissions from different artists;

No confidential, fiduciary, or trust relationship is created solely because a submission has been made.

If you require confidentiality, you should not submit material unless a separate written confidentiality agreement has first been executed by Aureon.

12. NO EXPECTATION OF COMPENSATION

Submitting material does not entitle you to:

Payment;

Royalties;

Reimbursement of expenses;

Compensation for evaluation;

Reimbursement of production costs;

Any other financial benefit.

Compensation arises only where expressly provided in a separate written agreement signed by Aureon.

13. INDEPENDENT DEVELOPMENT

You acknowledge that Aureon, its artists, producers, songwriters, employees, contractors, licensors, and business partners may independently create or already possess works that are similar in concept, style, genre, theme, structure, or expression to material you submit.

Submission of material does not prevent Aureon from:

Developing similar concepts independently;

Working with other artists;

Releasing similar works;

Pursuing existing creative projects.

No inference of copying or misuse shall arise solely because similarities exist between your submission and another work.

14. COMPLIANCE WITH PLATFORM POLICIES

All submissions remain subject to Aureon's:

Terms of Use;

Privacy Policy;

Copyright Policy;

AI Music Policy;

Acceptable Use Policy;

Community Guidelines;

Our objective is to:

Discover exceptional original talent;

Unless expressly disclosed otherwise, you represent that the submitted material:

Is original;

Has not been unlawfully copied;

Does not knowingly infringe the rights of any third party;

Has been created or lawfully acquired by you;

Is submitted with all necessary permissions.

If your submission incorporates third-party material, you must have all rights and permissions necessary for Aureon to review the submission.

21. THIRD-PARTY RIGHTS

If any submission includes material owned or controlled by another person or organisation, you represent that you have obtained all necessary:

Licences;

Permissions;

Consents;

Releases;

Approvals.

Examples include rights relating to:

Co-writers;

Producers;

Session musicians;

Vocalists;

Featured artists;

Publishers;

Record labels;

Visual artists;

Photographers.

Failure to obtain necessary permissions may result in rejection of the submission.

22. AI-GENERATED CONTENT DISCLOSURE

If Artificial Intelligence has been used in the creation of any submitted material, you must disclose that use where reasonably requested by Aureon.

This includes, where applicable:

AI-generated vocals;

AI-generated instrumentals;

AI-assisted lyrics;

AI-generated artwork;

AI-assisted videos;

Other AI-generated creative elements.

Submission of AI-assisted material does not guarantee acceptance, and Aureon reserves the right to request further information regarding the tools, processes, or permissions involved.

23. RETENTION OF OWNERSHIP

Except where expressly agreed in a separate written agreement, you retain ownership of your submitted material.

Submission alone does not transfer to Aureon:

Copyright;

Publishing rights;

Master recording ownership;

Performer rights;

Trademark rights;

Moral rights;

Other Intellectual Property Rights.

Ownership remains with the applicable rights holder unless formally assigned.

24. LIMITED EVALUATION LICENCE

By submitting material to Aureon, you grant Aureon a limited, non-exclusive, worldwide, royalty-free, non-transferable licence to:

Receive the submission;

Store the submission;

Copy the submission as reasonably necessary;

Review the submission;

Evaluate the submission internally;

Share the submission with authorised Aureon personnel, contractors, advisers, or decision-makers involved in the evaluation process.

This licence exists solely for the purpose of evaluating the submission and does not authorise commercial exploitation.

25. NO COMMERCIAL USE WITHOUT AGREEMENT

Aureon will not commercially exploit your submitted material solely because it has been submitted.

No commercial rights are granted to Aureon unless both parties subsequently enter into a separate written agreement covering matters such as:

Recording;

Distribution;

Publishing;

Licensing;

Synchronisation;

Artist management;

Commercial collaboration.

26. STORAGE OF SUBMISSIONS

Aureon may retain submitted material for a reasonable period to:

Complete internal evaluations;

Maintain submission records;

Respond to enquiries;

Resolve disputes;

Comply with legal obligations;

Protect Aureon's legitimate business interests.

Aureon is not obliged to retain submissions indefinitely.

27. RETURN OF MATERIALS

Unless Aureon expressly agrees otherwise, submitted materials will not be returned.

Artists are responsible for retaining their own copies of all submitted materials before making a submission.

Aureon accepts no responsibility for loss of original materials submitted electronically or otherwise.

28. NO OBLIGATION TO REVIEW

Aureon receives a significant number of submissions and cannot guarantee that every submission will be reviewed.

Aureon reserves the right to:

Decline to review a submission;

Prioritise submissions;

Close submissions temporarily;

Reject submissions that do not comply with this Agreement.

Failure to review a submission does not imply any opinion regarding its quality or commercial potential.

29. NO OBLIGATION TO PROVIDE FEEDBACK

Unless Aureon expressly agrees otherwise, Aureon is under no obligation to:

Provide feedback;

Explain evaluation decisions;

Offer recommendations;

Identify reasons for rejection;

Suggest improvements.

Any feedback voluntarily provided by Aureon is offered as a courtesy only.

30. UNSOLICITED SUBMISSIONS

Unless Aureon expressly invites submissions through an approved submission process, unsolicited submissions are made entirely at the sender's own risk.

Submission of unsolicited material does not:

Create contractual obligations;

Create confidentiality obligations;

Restrict Aureon's future creative activities;

Give rise to any expectation of compensation.

31. SIMILAR IDEAS

You acknowledge that Aureon may already possess or later develop works that are similar to your submission in terms of:

Musical style;

Genre;

Theme;

Lyrics;

Chord progressions;

Rhythms;

Production techniques;

Concepts;

Titles;

General artistic direction.

The existence of similarities alone does not establish copying or infringement.

32. MORAL RIGHTS

Nothing in this Agreement requires you to waive any moral rights that cannot lawfully be waived under applicable law.

Where moral rights may be waived by law, any waiver will only be effective if expressly agreed in a separate written agreement.

33. CONFIDENTIAL MATERIAL

Artists should not submit confidential business information, trade secrets, or commercially sensitive material unless Aureon has first agreed in writing to receive such information under an appropriate confidentiality agreement.

Aureon assumes no responsibility for protecting unsolicited confidential information submitted without such an agreement.

34. WITHDRAWAL OF SUBMISSIONS

Before a commercial agreement is entered into, you may request that Aureon cease evaluating a submission.

Aureon may retain copies where reasonably necessary to:

Maintain business records;

Resolve disputes;

Demonstrate independent development;

Comply with legal obligations;

Protect its legitimate legal interests.

Withdrawal of a submission does not require Aureon to delete records where retention is lawful and reasonably necessary.

Aureon Music Group values originality, creativity, and artistic integrity.

Our submission process is designed to:

Respect artists' ownership of their work;

Evaluate submissions fairly and professionally;

Acknowledge receipt of a submission;

Confirm that a submission has been reviewed;

Respond to enquiries regarding review status;

Explain evaluation decisions;

Provide artistic feedback;

Offer recommendations.

A lack of response should not be interpreted as either acceptance or rejection.

Submission of material does not create any obligation for Aureon to:

Offer a recording agreement;

Offer a publishing agreement;

Offer a distribution agreement;

Offer a licensing agreement;

Offer management representation;

Offer investment;

Offer employment;

Enter into commercial negotiations.

Any future business relationship will arise only through a separate written agreement signed by both parties.

Evaluation fees;

Royalties;

Reimbursement;

Development funding;

Other financial consideration.

Payment obligations arise only under a separate written agreement.

44. INDEPENDENT DEVELOPMENT

Aureon, its artists, employees, producers, composers, songwriters, contractors, licensors, and business partners continually develop original creative works.

Accordingly, Aureon may independently create or acquire works that are similar to submitted material.

Such similarities may relate to:

Genre;

Theme;

Subject matter;

Musical style;

Chord progressions;

Rhythms;

Song structure;

Production techniques;

General artistic concepts.

The existence of similarities does not, by itself, establish copying, infringement, or misuse.

45. NO CONFIDENTIAL RELATIONSHIP

Unless Aureon has entered into a separate written confidentiality agreement before receiving the submission, no confidential relationship is created by submitting material.

Artists acknowledge that:

Aureon receives numerous submissions from different sources;

Similar ideas may already exist within Aureon's catalogue or development pipeline;

Aureon must remain free to pursue its own creative projects.

46. NO FIDUCIARY DUTY

Submission of material does not create:

A fiduciary relationship;

A trustee relationship;

An agency relationship;

A partnership;

A joint venture;

An employment relationship.

Both parties remain entirely independent unless a subsequent written agreement provides otherwise.

47. COMMUNICATION DURING REVIEW

Where Aureon chooses to communicate with an artist regarding a submission, such communications may include:

Requests for additional information;

Requests for higher-quality recordings;

Requests for supporting documentation;

Invitations to meetings;

Requests for proof of ownership;

Preliminary discussions.

Such communications do not constitute acceptance of the submission or a commitment to enter into any future agreement.

Aureon may request additional material where it believes further evaluation is appropriate.

Examples include:

Alternative mixes;

Instrumentals;

Stems;

Live performances;

Performance videos;

Aureon may retain copies of submitted material where reasonably necessary to:

Maintain business records;

Demonstrate independent development;

Rights ownership is unclear;

The submission is incomplete;

Technical quality is inadequate;

The submission breaches this Agreement;

The submission presents legal or commercial risks.

Aureon is not required to provide reasons for rejection.

52. FUTURE OPPORTUNITIES

A rejection of a submission does not prevent an artist from submitting different original material in the future, provided that the artist continues to comply with Aureon's submission procedures and policies.

Aureon reserves the right to establish submission windows, invitation-only programmes, or eligibility criteria for future submissions.

71. OVERVIEW

This Section explains how Aureon Music Group manages confidentiality and Intellectual Property in relation to artist submissions.

Aureon respects the rights of creators and recognises that original music and creative works represent valuable intellectual property. At the same time, Aureon receives numerous submissions and develops music independently through its own artists, producers, songwriters, and creative partners.

This Section seeks to protect both parties by clearly defining their respective rights and obligations.

72. OWNERSHIP OF SUBMITTED MATERIAL

Except where expressly transferred under a separate written agreement signed by both parties, all Intellectual Property Rights in submitted material remain the property of the submitting artist or the applicable rights holder.

Submission of material to Aureon does not transfer:

Copyright;

Master recording ownership;

Performer rights;

Moral rights;

Trademark rights;

Design rights;

Database rights;

Other Intellectual Property Rights.

Ownership remains with the relevant rights holder unless expressly assigned in writing.

By submitting material, you grant Aureon a limited, non-exclusive, worldwide, royalty-free, non-transferable licence solely to:

Receive the submission;

Store the submission;

Copy the submission where reasonably necessary;

Review the submission;

Evaluate the submission internally;

Share the submission with authorised Aureon personnel, contractors, advisers, or decision-makers involved in the evaluation process.

This licence exists only for evaluation purposes and does not authorise commercial exploitation of the submitted material.

74. NO TRANSFER OF RIGHTS

Nothing in this Agreement shall be interpreted as:

Assigning ownership to Aureon;

Granting Aureon publishing rights;

Granting Aureon distribution rights;

Granting Aureon recording rights;

Granting Aureon merchandising rights;

Granting Aureon synchronisation rights.

Any commercial rights granted to Aureon must be contained in a separate written agreement signed by both parties.

75. CONFIDENTIALITY OF SUBMISSIONS

Unless Aureon expressly agrees otherwise in writing before receiving the submission, submissions are not provided on a confidential basis.

Artists acknowledge that:

Aureon receives numerous submissions from multiple sources;

Similar ideas may already exist within Aureon's catalogue;

Aureon cannot agree to treat unsolicited submissions as confidential;

No confidential relationship arises solely because material has been submitted.

If confidentiality is required, a separate written Non-Disclosure Agreement (NDA) or confidentiality agreement must be executed before any confidential information is disclosed.

76. CONFIDENTIAL INFORMATION PROVIDED BY AUREON

If Aureon provides confidential information to an artist during discussions or negotiations, the artist agrees to keep that information confidential unless:

Disclosure is authorised in writing by Aureon;

Disclosure is required by applicable law;

The information becomes publicly available through no fault of the artist;

The information was already lawfully known to the artist before disclosure.

This obligation survives the end of discussions for so long as the information remains confidential.

77. UNSOLICITED CONFIDENTIAL INFORMATION

Artists should not submit:

Business plans;

Marketing strategies;

Financial information;

Trade secrets;

Unreleased commercial strategies;

Proprietary technology;

Other confidential information

unless Aureon has first agreed in writing to receive such information under an appropriate confidentiality agreement.

Aureon accepts no responsibility for protecting unsolicited confidential information submitted without such an agreement.

78. INDEPENDENT DEVELOPMENT

Artists acknowledge that Aureon, its artists, producers, employees, contractors, and creative partners may independently create, acquire, develop, or license works that are similar to submitted material.

Accordingly:

Similarity alone does not establish copying;

Similarity alone does not establish misuse of confidential information;

Similarity alone does not establish copyright infringement.

Artists waive any claim based solely upon the existence of similarities between their submission and independently developed works.

Nothing in this clause limits any rights the artist may have where actual copyright infringement is established by applicable law.

79. MORAL RIGHTS

Nothing in this Agreement requires an artist to waive any moral rights that cannot lawfully be waived under applicable law.

Where moral rights may lawfully be waived, no waiver shall occur unless expressly agreed in a separate written agreement.

80. TRADEMARKS AND BRANDING

Submission of material does not grant Aureon any ownership of:

Artist names;

Logos;

Trademarks;

Stage names;

Brand identities;

Domain names;

Social media accounts.

Any future use of an artist's branding shall be governed by a separate written agreement.
