166. OVERVIEW

Aureon Music Group offers a range of Creator Subscription Plans designed to meet the needs of individual creators, businesses, agencies, and enterprise customers.

Television advertising;

Cinema advertising;

International product launches;

Multi-country campaigns;

Large-scale corporate branding.

Such activities may require a Commercial or Enterprise Licence.

182. SUBSCRIPTION UPGRADES

Creators may upgrade their subscription at any time, subject to payment of the applicable fees.

An upgraded subscription becomes effective when:

Payment has been successfully processed;

Aureon activates the upgraded plan where required.

Creators may downgrade their subscription where permitted.

Following a downgrade:

Certain licensing rights may cease immediately;

The Creator shall not assume that additional features, products, marketing materials, or Platform functionality expand the scope of the Creator Licence.

Where uncertainty exists, the Creator should obtain written clarification from Aureon before proceeding.

189. FUTURE SUBSCRIPTION PLANS

Aureon may introduce additional Creator Subscription Plans in the future, including plans designed for:

AUREON MUSIC GROUP

CREATOR LICENCE AGREEMENT

SECTION 9 – COPYRIGHT CLAIMS & WHITELISTING

191. OVERVIEW

Aureon Music Group licenses music for use on a wide range of third-party digital platforms that employ automated copyright detection and rights management systems.

While a valid Creator Licence authorises the Creator's use of Licensed Content, third-party platforms operate independent copyright identification systems that may automatically detect, review, restrict, or monetise content.

This Section explains how copyright claims, content identification systems, and Aureon's whitelisting process operate.

192. AUTOMATED COPYRIGHT SYSTEMS

The Creator acknowledges that third-party platforms may use automated technologies including:

Audio fingerprinting;

Content identification systems;

Copyright matching algorithms;

Digital rights management systems;

Automated copyright review tools;

Rights ownership databases.

These systems are operated independently by the relevant platform.

Aureon does not control their operation.

193. NO GUARANTEE AGAINST CLAIMS

A valid Creator Licence does not guarantee that a platform will never:

Issue a copyright claim;

Restrict monetisation;

Delay publication;

Block content in certain territories;

Request ownership verification;

Review uploaded content.

Automated copyright claims may occur even where the Creator is fully licensed.

194. WHITELISTING PROGRAMME

Where offered by Aureon, eligible Creators may request that specific digital channels be added to Aureon's whitelisting programme.

Whitelisting is intended to assist participating platforms in recognising authorised uses of Licensed Content.

Whitelisting is an administrative service and does not alter the legal rights granted under the Creator Licence.

195. ELIGIBLE CHANNELS

Subject to the applicable subscription tier, Creators may request whitelisting for channels including:

YouTube channels;

Facebook Pages;

Instagram accounts;

TikTok accounts;

Twitch channels;

Kick channels;

Podcast channels;

Business websites;

Other supported platforms approved by Aureon.

The availability of whitelisting depends on the technical capabilities of the relevant platform.

196. WHITELISTING REQUIREMENTS

To request whitelisting, Aureon may require:

Creator Account identification;

Platform account or channel identifier;

Proof of ownership or control of the channel;

Confirmation of an active Creator Subscription;

Any additional information reasonably required for verification.

Aureon may refuse or delay whitelisting where verification cannot be completed.

197. WHITELISTING LIMITS

The number of channels eligible for whitelisting may depend on the Creator's subscription tier.

Subscription plans may define limits including:

Number of YouTube channels;

Number of social media accounts;

Number of business websites;

Number of client channels where authorised.

Additional channels may require a higher subscription tier or Enterprise Licence.

198. PROCESSING TIMES

Aureon will use commercially reasonable efforts to process whitelisting requests promptly.

Processing times may vary depending on:

Platform requirements;

Verification procedures;

Technical integration;

Volume of requests.

Submission of a request does not guarantee immediate activation.

199. COPYRIGHT CLAIMS

If a Creator receives a copyright claim relating to Licensed Content used in accordance with this Agreement, the Creator should first verify that:

The Creator Subscription is active;

The Creator Licence covers the relevant use;

The correct channel has been registered where required;

The content complies with this Agreement.

Where those conditions are satisfied, the Creator may contact Aureon for assistance.

200. COPYRIGHT DISPUTES

Where appropriate, Aureon may assist eligible Creators by:

Reviewing the reported issue;

Confirming licence status;

Providing reasonable licensing confirmation where available;

Liaising with platform rights management systems where applicable.

Aureon does not guarantee that any platform will remove or resolve a copyright claim.

Final decisions remain with the relevant platform or rights administrator.

201. FALSE CLAIMS

If Aureon reasonably determines that a copyright claim has been issued in error, Aureon may use commercially reasonable efforts to assist the Creator in resolving the matter.

However, Aureon cannot guarantee:

Removal of the claim;

Restoration of monetisation;

Restoration of rankings;

Restoration of audience reach;

Restoration of lost revenue.

202. CREATOR RESPONSIBILITIES

The Creator agrees to:

Use Licensed Content only within the authorised scope of the Licence;

Register eligible channels where required;

Maintain an active subscription where applicable;

Promptly notify Aureon of significant licensing issues;

Cooperate with reasonable verification requests.

Failure to comply may affect Aureon's ability to provide licensing assistance.

203. FRAUDULENT CLAIMS

The Creator shall not:

Submit false copyright disputes;

Misrepresent licensing status;

Falsely claim ownership of Licensed Content;

Challenge legitimate copyright ownership;

Attempt to exploit platform dispute procedures.

Fraudulent use of copyright systems may result in immediate suspension or termination of the Creator Licence.

204. MULTIPLE CHANNELS

Where a Creator manages multiple channels:

Each channel requiring whitelisting must be registered separately where required;

Unregistered channels may not receive the benefits of Aureon's whitelisting programme;

Rights remain subject to the applicable subscription limits.

205. CLIENT CHANNELS

Where client work is authorised, client channels may be eligible for whitelisting only if:

The applicable subscription tier permits client licensing;

The relevant channels are registered where required;

Aureon approves the request.

Whitelisting of a client channel does not transfer ownership of Licensed Content or create a separate licence between Aureon and the client.

206. PLATFORM POLICY CHANGES

Third-party platforms may change their:

Copyright systems;

Monetisation programmes;

Content identification technologies;

Appeal procedures;

Technical requirements.

Aureon is not responsible for changes implemented by third-party platforms.

207. REMOVAL FROM WHITELISTING

Aureon may remove a Creator or channel from the whitelisting programme where:

The subscription expires;

The Creator Licence is terminated;

False information was provided;

The channel is no longer controlled by the Creator;

The Creator materially breaches this Agreement.

Removal from whitelisting does not affect Aureon's underlying Intellectual Property Rights.

208. PLATFORM MONETISATION

The Creator acknowledges that:

Platform monetisation programmes operate independently;

Platform revenue decisions are made solely by the relevant platform;

Aureon does not control advertising revenue distribution;

Aureon cannot guarantee continued monetisation.

The Creator remains responsible for complying with platform monetisation requirements.

209. LIMITATION OF ASSISTANCE

Aureon's assistance with copyright claims is provided as a customer support service.

Except where required by applicable law, Aureon does not warrant or guarantee:

Successful appeal outcomes;

Immediate resolution;

Removal of restrictions;

Restoration of lost earnings.

The Creator remains responsible for managing their relationship with the relevant platform.

210. RECORDS

Aureon may maintain records relating to:

Registered channels;

Whitelisting requests;

Copyright claims reported;

Licensing confirmations;

Support communications;

Compliance investigations.

Such records are maintained in accordance with Aureon's Privacy Policy.

211. RESERVATION OF RIGHTS

Nothing in this Section limits Aureon's right to:

Enforce its copyrights;

Protect its artists;

Issue copyright notices;

Remove unauthorised uses of Licensed Content;

Investigate suspected infringement.

Whitelisting is a discretionary service and does not waive Aureon's Intellectual Property Rights.

212. OUR COMMITMENT TO CREATORS

Aureon Music Group is committed to helping licensed creators publish and monetise their original content with confidence.

We understand that automated copyright systems can sometimes create challenges, and we strive to provide commercially reasonable support where eligible creators experience licensing-related issues.

At the same time, Aureon remains committed to protecting the rights of artists, composers, producers, and other rights holders by ensuring that Licensed Content is used only in accordance with valid licensing arrangements.

AUREON MUSIC GROUP

CREATOR LICENCE AGREEMENT

SECTION 10 – ATTRIBUTION REQUIREMENTS

213. OVERVIEW

Aureon Music Group values the recognition of the artists, composers, producers, songwriters, and other creators whose work appears within the Aureon catalogue.

Certain Creator Licences may require attribution as a condition of use, while other licences may permit use without attribution.

This Section explains when attribution is required, how attribution should be provided, and the consequences of failing to comply with applicable attribution obligations.

214. WHEN ATTRIBUTION IS REQUIRED

Whether attribution is required depends upon:

The Creator Subscription purchased;

The specific Licensed Content;

Any licence-specific terms;

Any written agreement between Aureon and the Creator.

Where attribution is required, compliance with this Section is a condition of the Creator Licence.

215. WHEN ATTRIBUTION IS NOT REQUIRED

Where Aureon expressly states that attribution is optional or not required under the applicable subscription tier, the Creator is not contractually obliged to provide attribution.

Although not mandatory in such cases, Aureon encourages Creators to credit artists whenever reasonably practical as a professional courtesy and in support of artist recognition.

216. STANDARD ATTRIBUTION FORMAT

Where attribution is required, the Creator should include, where reasonably practicable:

Music: "[Song Title]" by [Artist Name]

Licensed through Aureon Music Group

or any other attribution format specified by Aureon from time to time.

Aureon may update recommended attribution formats to reflect changes in branding or licensing practices.

217. LOCATION OF ATTRIBUTION

Where attribution is required, it should be placed in a location that is reasonably visible or accessible to the audience.

Depending on the platform, this may include:

Video descriptions;

Podcast show notes;

Website credits;

End credits;

Presentation acknowledgements;

Course descriptions;

Content information panels;

Other suitable locations.

The method of attribution may vary depending on the technical capabilities of the relevant platform.

218. MULTIPLE TRACKS

Where multiple Aureon tracks are used within the same production, the Creator may provide a consolidated credit listing all relevant songs and artists.

Aureon may publish recommended formatting guidelines for productions containing multiple Licensed Content items.

219. SOCIAL MEDIA CONTENT

For short-form content where space is limited, attribution may be provided using any reasonable method supported by the platform, including:

Caption text;

Description fields;

Linked credit pages;

Profile information where appropriate.

Where a platform provides no practical method for attribution, Aureon may waive attribution requirements where expressly permitted under the applicable subscription.

220. PODCASTS

Where attribution is required for podcasts, it may appear within:

Episode descriptions;

Show notes;

Closing credits;

Podcast websites.

Verbal attribution is encouraged but is not required unless expressly specified by Aureon.

221. EDUCATIONAL CONTENT

Educational content requiring attribution may include credits within:

Course descriptions;

Learning management systems;

Presentation slides;

Resource documentation;

Closing acknowledgements.

Educational institutions should ensure that attribution remains reasonably accessible to learners.

222. BUSINESS CONTENT

Businesses using Licensed Content under a Creator Licence shall provide attribution where required by:

The applicable subscription tier;

The relevant licence;

Any written agreement with Aureon.

Business attribution may appear within:

Website credits;

Video descriptions;

Campaign documentation;

Marketing materials where appropriate.

223. CLIENT PROJECTS

Where a Creator produces content for a client, the Creator remains responsible for ensuring that any required attribution is included before delivery of the completed work.

The client shall not remove mandatory attribution without Aureon's prior written approval.

224. NO FALSE ATTRIBUTION

The Creator shall not:

Attribute Licensed Content to the wrong artist;

Remove required artist credits;

Misidentify the composer or producer;

Claim authorship of Licensed Content;

Suggest that the Creator created Aureon's music.

All attribution must be accurate and truthful.

225. MODIFICATION OF ATTRIBUTION

The Creator shall not alter required attribution in a manner that:

Misrepresents ownership;

Removes copyright information;

Conceals Aureon's involvement;

Creates confusion regarding authorship.

Reasonable formatting adjustments for platform compatibility are permitted provided the attribution remains accurate.

226. ARTIST NAMES AND BRANDING

Nothing in this Section grants permission to use:

Artist names;

Artist logos;

Artist photographs;

Artist likenesses;

Artist branding;

for endorsement, sponsorship, advertising, merchandising, or promotional purposes beyond the attribution expressly required under this Agreement.

227. COPYRIGHT NOTICES

Where Aureon includes copyright notices with Licensed Content, the Creator shall not remove or obscure those notices where they are reasonably capable of being displayed.

228. DIGITAL METADATA

The Creator shall not intentionally remove or alter embedded metadata relating to:

Song titles;

Artist names;

Copyright ownership;

ISRC codes;

Licensing identifiers;

Other rights management information.

229. PLATFORM LIMITATIONS

The Creator acknowledges that some platforms may not provide practical facilities for displaying attribution.

Where attribution cannot reasonably be displayed due to platform limitations, the Creator shall comply with any alternative guidance published by Aureon or otherwise satisfy the requirement to the extent reasonably practicable.

230. WAIVER OF ATTRIBUTION

Aureon may, at its sole discretion, waive attribution requirements for:

Specific subscription tiers;

Particular Licensed Content;

Commercial campaigns;

Enterprise agreements;

Custom licensing arrangements.

Any waiver must be expressly confirmed by Aureon in writing or through the applicable subscription terms.

231. FAILURE TO PROVIDE ATTRIBUTION

Where attribution is required and the Creator fails to provide it, Aureon may:

Request that the omission be corrected within a reasonable period;

Require updated content descriptions or credits;

Suspend certain licensing privileges for repeated or material breaches;

Take further action under this Agreement where appropriate.

Minor or inadvertent omissions that are promptly corrected following notification will generally be treated as compliance issues rather than intentional breaches.

232. NO OWNERSHIP THROUGH ATTRIBUTION

Providing attribution does not:

Transfer ownership of Licensed Content;

Grant additional licensing rights;

Create any partnership or endorsement;

Alter Aureon's Intellectual Property Rights.

Attribution is solely a recognition of authorship and licensing.

233. FUTURE ATTRIBUTION STANDARDS

Aureon may introduce updated attribution standards to reflect:

New digital platforms;

Industry best practices;

Regulatory developments;

Technological changes;

New licensing products.

Where changes materially affect existing Creators, Aureon will provide reasonable notice where required by applicable law.

234. OUR COMMITMENT TO CREATIVE RECOGNITION

Aureon Music Group believes that recognising the creators behind music is an important part of supporting a healthy creative industry.

Our attribution requirements are designed to:

Respect artists and composers;

Promote accurate recognition of creative work;

Maintain transparency in licensing;

Provide consistency across digital platforms; and

Balance professional credit with the practical realities of modern content creation.

We encourage all Creators to acknowledge the artists whose music helps bring their content to life, even where attribution is not contractually required.

Any such use must remain strictly within the limits of the relevant legal exception.

247. CREATOR WARRANTIES

The Creator represents and warrants that neither the Creator nor any person acting on the Creator's behalf will knowingly use Licensed Content in violation of this Section.

251. SURVIVAL

The obligations contained in this Section survive:

Expiry of the Creator Licence;

Cancellation of the Creator Subscription;

Closure of the Creator Account.

Termination of the Creator Licence does not authorise continued possession or use of AI datasets created in breach of this Agreement.

Sales tax;

Digital services taxes;

Other legally applicable taxes.

Where Aureon is legally required to collect taxes, they will be added during checkout where applicable.

285. PAYMENT FAILURE

If a payment cannot be successfully processed, Aureon may:

Retry the payment where permitted;

Suspend the Creator Subscription;

Restrict access to Licensed Content;

Suspend commercial licensing rights;

Suspend downloads;

Cancel the subscription.

The Creator Licence does not remain active while required subscription fees remain unpaid.

286. FAILED RENEWALS

Where an automatic renewal payment fails, Aureon may provide a reasonable grace period before suspending the Creator Subscription.

During any grace period:

Certain Platform features may remain available;

Commercial licensing rights may be limited where necessary;

Continued access is not guaranteed.

If payment is not successfully completed within the applicable grace period, Aureon may suspend or terminate the subscription.

287. UPGRADES

Creators may upgrade their subscription at any time.

An upgraded subscription becomes effective after:

Successful payment;

Activation by Aureon where required.

Upgrades do not retrospectively authorise uses that were not permitted under the previous subscription tier.

288. DOWNGRADES

Creators may downgrade their subscription where the Platform permits.

Following a downgrade:

Certain licensing rights may cease immediately;

Commercial permissions may be reduced;

Channel limits may decrease;

Client work permissions may change;

Premium Creator features may no longer be available.

The Creator remains responsible for ensuring ongoing compliance with the downgraded subscription.

289. CANCELLATION BY THE CREATOR

The Creator may cancel a Creator Subscription at any time through the Platform.

Unless otherwise required by applicable law:

Cancellation prevents future renewals;

The Creator retains access until the end of the paid billing period;

No additional subscription fees will be charged after cancellation becomes effective.

Cancellation does not automatically entitle the Creator to a refund.

290. EFFECT OF CANCELLATION

Upon cancellation:

Access to Creator-only features may cease at the end of the paid subscription period;

New Creator projects may no longer be licensed after expiry;

Existing completed projects remain governed by the rights granted while the subscription was active, subject to this Agreement and any licence-specific terms.

The Creator must not create or publish new content using Licensed Content after the subscription has expired unless another valid licence is in place.

291. TERMINATION BY AUREON

Aureon may suspend or terminate a Creator Subscription where the Creator:

Materially breaches this Agreement;

Fails to pay applicable fees;

Engages in fraud;

Infringes Intellectual Property Rights;

Uses Licensed Content outside the authorised scope;

Violates applicable law;

Misuses the Platform.

Where appropriate, Aureon may provide notice and an opportunity to remedy the breach before termination.

292. REFUNDS

Refunds are governed by Aureon's separate Refund & Cancellation Policy.

Where digital services have already been supplied or Licensed Content has been accessed, refunds may be limited to the extent permitted by applicable consumer protection laws.

Nothing in this Agreement limits mandatory statutory rights that cannot lawfully be excluded.

293. CHARGEBACKS

If a Creator initiates a chargeback or payment dispute, Aureon may:

Suspend the Creator Account;

Suspend or terminate the Creator Subscription;

Suspend access to Licensed Content;

Recover outstanding subscription fees;

Challenge fraudulent chargebacks through the payment provider.

This does not affect any mandatory consumer rights under applicable law.

294. FRAUD PREVENTION

Aureon reserves the right to delay, refuse, suspend, or cancel transactions where it reasonably suspects:

Fraud;

Identity theft;

Unauthorised payment methods;

Money laundering;

Breach of this Agreement.

Additional verification may be requested before processing certain transactions.

295. INVOICES AND RECEIPTS

Where applicable, Aureon may provide invoices or receipts including:

Subscription details;

Billing date;

Amount paid;

Taxes collected;

Transaction reference;

Currency.

The Creator is responsible for ensuring that billing information remains accurate.

296. RECORDS

Aureon may maintain records relating to:

Subscription purchases;

Renewals;

Upgrades;

Downgrades;

Cancellations;

Refunds;

Billing history;

Payment confirmations.

Such records are maintained in accordance with Aureon's Privacy Policy and applicable legal obligations.

297. CURRENCY CONVERSION

Where subscription fees are paid in currencies different from the billing currency:

Exchange rates are determined by the payment provider or financial institution;

Aureon is not responsible for exchange rate fluctuations;

Bank conversion charges remain the responsibility of the Creator.

298. SURVIVAL OF PAYMENT OBLIGATIONS

Termination or cancellation of a Creator Subscription does not affect obligations that accrued before termination, including:

Outstanding subscription fees;

Taxes;

Lawfully incurred charges;

Other amounts properly due under this Agreement.

299. NO WAIVER

Failure by Aureon to immediately collect any outstanding amount shall not constitute a waiver of Aureon's right to recover sums lawfully owed.

Our billing framework is designed to:

Provide predictable subscription pricing;

AUREON MUSIC GROUP

CREATOR LICENCE AGREEMENT

SECTION 14 – SUSPENSION & TERMINATION

301. OVERVIEW

This Section explains the circumstances in which a Creator Licence or Creator Account may be suspended, restricted, or terminated.

Aureon Music Group seeks to administer its licensing programme fairly, consistently, and proportionately. Where appropriate, Aureon will provide the Creator with an opportunity to remedy a breach before taking permanent action.

Nothing in this Section limits Aureon's right to take immediate action where necessary to protect its Platform, artists, intellectual property, users, or legal interests.

302. LICENCE REMAINS CONDITIONAL

The Creator Licence remains valid only while the Creator:

Maintains an active subscription where required;

Complies with this Agreement;

Complies with the Master Music Licensing Agreement;

Pays all applicable subscription fees;

Complies with applicable laws;

Uses Licensed Content only within the authorised scope.

Failure to satisfy these conditions may result in suspension or termination.

303. SUSPENSION BY AUREON

Aureon may suspend a Creator Licence or Creator Account where it reasonably believes that:

This Agreement has been materially breached;

Subscription payments have failed;

Fraudulent activity is suspected;

Intellectual Property Rights have been infringed;

Licensed Content has been used outside the permitted scope;

Account security has been compromised;

False or misleading information has been provided;

Applicable laws have been violated;

Continued access presents a material risk to the Platform, artists, or other users.

Suspension may be temporary while Aureon investigates the matter.

304. IMMEDIATE SUSPENSION

Aureon may suspend a Creator Licence or Account immediately, without prior notice where reasonably necessary to:

Prevent ongoing copyright infringement;

Protect Intellectual Property Rights;

Prevent fraud or financial loss;

Protect Platform security;

Respond to cybersecurity incidents;

Comply with a court order or legal obligation;

Prevent significant harm to Aureon, its artists, or third parties.

Where appropriate, Aureon will notify the Creator of the suspension as soon as reasonably practicable.

305. EFFECT OF SUSPENSION

During a suspension, Aureon may:

Restrict access to the Creator Account;

Disable downloads of Licensed Content;

Suspend access to Creator tools;

Suspend commercial licensing rights;

Disable channel whitelisting services;

Restrict customer support relating to licensing activities.

Suspension does not terminate the Agreement unless Aureon expressly states otherwise.

306. INVESTIGATION OF SUSPECTED BREACHES

Aureon may investigate suspected breaches of this Agreement.

The Creator agrees to cooperate reasonably with any investigation, including providing information relating to:

Licensing activities;

Registered channels;

Subscription status;

Use of Licensed Content;

Client projects where relevant.

Aureon will process information obtained during an investigation in accordance with its Privacy Policy and applicable law.

307. NOTICE AND OPPORTUNITY TO REMEDY

Where the breach is capable of being remedied and immediate action is not required, Aureon may provide the Creator with:

Notice of the suspected breach;

A reasonable opportunity to correct the issue;

Information regarding the steps required to restore compliance.

Examples of remediable issues may include:

Missing attribution;

Administrative errors;

Expired payment methods;

Incorrect channel registration.

Serious or deliberate breaches may not be eligible for a remedy period.

308. TERMINATION BY THE CREATOR

The Creator may terminate this Agreement by:

Cancelling the Creator Subscription;

Closing the Creator Account in accordance with Aureon's procedures; and

Ceasing all future use of Licensed Content requiring an active Creator Licence.

Termination by the Creator does not automatically entitle the Creator to a refund except where required by applicable law or Aureon's Refund & Cancellation Policy.

309. TERMINATION BY AUREON

Aureon may terminate the Creator Licence or Creator Account where the Creator:

Repeatedly breaches this Agreement;

Commits a serious breach of this Agreement;

Engages in fraudulent conduct;

Infringes Aureon's Intellectual Property Rights;

Uses Licensed Content for prohibited AI activities;

Knowingly provides false information;

Engages in unlawful conduct;

Circumvents subscription restrictions;

Shares Account credentials in breach of this Agreement;

Uses the Platform in a manner that materially harms Aureon, its artists, or other users.

Termination may occur immediately where justified by the seriousness of the breach.

310. SUBSCRIPTION EXPIRY

Where the Creator Subscription expires due to non-renewal or cancellation:

Access to Creator-only services may cease;

No new Licensed Content may be downloaded under the expired subscription;

The Creator may no longer create new content requiring an active Creator Licence.

Completed projects created during a valid subscription remain subject to the licensing rights that applied at the time of creation, unless otherwise stated in this Agreement or required by law.

311. OBLIGATIONS FOLLOWING TERMINATION

Following termination or expiry of the Creator Licence, the Creator shall:

Stop creating new content using Licensed Content unless another valid licence applies;

Stop using Creator-only Platform features;

Comply with any continuing licence obligations;

Remove or cease any unauthorised use of Licensed Content where required under this Agreement or applicable law.

The Creator shall not represent themselves as holding an active Creator Licence after termination.

312. RETENTION OF COMPLETED PROJECTS

Where content was lawfully created and published during an active Creator Licence, the continued availability of completed projects after subscription expiry shall be governed by:

This Agreement;

The applicable subscription terms;

The Master Music Licensing Agreement;

Any specific written licence granted by Aureon.

Unless expressly stated otherwise, termination of a subscription does not automatically require the removal of previously authorised completed projects.

313. REINSTATEMENT

Where a suspension resulted from a remediable issue, Aureon may reinstate the Creator Licence where:

Outstanding payments have been received;

Required verification has been completed;

The breach has been corrected;

Aureon is satisfied that future compliance is likely.

Reinstatement is at Aureon's reasonable discretion and does not waive previous breaches.

314. NO REFUND UPON TERMINATION FOR BREACH

Where Aureon terminates the Creator Licence because of the Creator's material breach of this Agreement:

Subscription fees already paid are generally non-refundable, except where required by applicable law;

Aureon may recover any unpaid amounts properly due under this Agreement.

Nothing in this Section affects mandatory consumer rights.

315. CONTINUING ENFORCEMENT

Termination of the Creator Licence does not prevent Aureon from pursuing:

Copyright enforcement;

Recovery of damages;

Injunctive relief;

Contractual remedies;

Statutory remedies;

Other legal rights available under applicable law.

316. SURVIVING PROVISIONS

The following provisions survive termination or expiry of this Agreement to the extent necessary:

Intellectual Property Ownership;

AI Restrictions;

Payment obligations accrued before termination;

Warranties and indemnities;

Limitation of liability;

Governing law;

Dispute resolution;

Copyright enforcement;

Confidentiality obligations;

Any provision intended by its nature to survive.

317. NO WAIVER

Aureon's decision not to immediately suspend or terminate a Creator Licence following a breach shall not constitute:

Acceptance of the conduct;

A waiver of the breach;

A waiver of future enforcement rights.

Aureon may enforce its rights at any time, subject to applicable law.

318. FORCE MAJEURE

Aureon shall not be liable for delays or failures in administering suspensions, reinstatements, or terminations where such delays result from events beyond Aureon's reasonable control, including:

Natural disasters;

Cybersecurity incidents;

Government action;

Court orders;

Internet outages;

Failure of third-party service providers.

319. OUR COMMITMENT TO FAIR ENFORCEMENT

Aureon Music Group is committed to maintaining a fair, transparent, and professionally managed licensing ecosystem.

Our suspension and termination procedures are intended to:

Protect artists and rights holders;

Safeguard the integrity of the Platform;

Encourage voluntary compliance;

Resolve issues proportionately where possible;

Provide creators with a clear understanding of the consequences of non-compliance.

Where appropriate, Aureon will seek to work constructively with Creators to resolve genuine licensing issues while taking decisive action against deliberate misuse or infringement.

341. GOVERNING LAW

Unless mandatory local law requires otherwise, this Creator Licence Agreement shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law principles.

The application of Irish law does not deprive consumers of mandatory legal protections available under the laws of the country in which they habitually reside where those protections cannot lawfully be waived.

Accordingly, the Creator acknowledges that:

Local copyright laws continue to apply;

Consumer protection legislation may override certain contractual provisions where required;

Advertising regulations differ between jurisdictions;

Emergency court orders;

Intellectual Property enforcement;

Protective measures necessary to prevent immediate harm.

344. JURISDICTION

Subject to mandatory consumer protection laws, the courts of the Republic of Ireland shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement.

Where applicable law grants a consumer the right to bring proceedings before the courts of their country of residence, nothing in this Agreement is intended to restrict that statutory right.
