Promptly notify Aureon of any known infringement affecting Licensed Content where reasonably practicable.

186. THIRD-PARTY RIGHTS

Platform takedown requests;

Licence suspension;

Licence termination;

Injunctive relief;

Civil proceedings;

190. SURVIVAL

The ownership provisions contained in this Section survive:

Expiry of the Licence;

Cancellation of subscriptions;

Termination of this Agreement;

Closure of a User Account.

Termination of a Licence does not affect Aureon's continuing ownership of its Intellectual Property Rights.

They are authorised to use the selected payment method;

The payment information provided is accurate and complete;

They authorise Aureon and its payment processor to charge all applicable fees.

Providing false or fraudulent payment information may result in immediate suspension or termination of the Licence and may be reported to the relevant authorities where appropriate.

198. SUBSCRIPTIONS

Subscription-based licences automatically renew at the end of each billing cycle unless:

The Licensee cancels before renewal;

Aureon terminates the subscription in accordance with this Agreement; or

Nothing in this Agreement excludes any mandatory consumer rights that cannot lawfully be waived.

205. CANCELLATION OF SUBSCRIPTIONS

Unless otherwise provided by applicable law or the relevant subscription terms:

The Licensee may cancel a subscription at any time;

Cancellation prevents future renewals;

Cancellation does not automatically entitle the Licensee to a refund for the current billing period;

Access to subscription benefits continues until the end of the paid billing period unless the subscription is terminated earlier under this Agreement.

206. COMMERCIAL LICENCE PAYMENTS

Commercial Licence fees are determined according to factors including:

Intended use;

Audience size;

Duration;

Territory;

Industry sector;

Number of locations;

Revenue model.

Commercial Licence pricing may therefore vary between Licensees.

207. ENTERPRISE LICENCE FEES

AUREON MUSIC GROUP

MASTER MUSIC LICENSING AGREEMENT

SECTION 10 – LICENCE DURATION, SUSPENSION & TERMINATION

217. OVERVIEW

Every Licence granted by Aureon Music Group remains valid only for the period specified in the applicable Licence and only while the Licensee complies with:

this Licensing Agreement;

the Terms of Use;

the applicable subscription terms;

any licence-specific agreement;

applicable laws; and

all payment obligations.

A Licence may expire, be suspended, or be terminated in accordance with this Section.

Termination of a Licence does not transfer ownership of any Intellectual Property Rights and does not affect any rights or obligations that, by their nature, survive termination.

218. COMMENCEMENT OF LICENCE

Unless expressly stated otherwise in writing, a Licence commences on the earliest of:

the date Aureon confirms activation of the Licence;

the successful completion of payment;

the date access to the Licensed Content is first made available; or

the date specified in the applicable Licence.

No rights may be exercised before the Licence becomes effective.

219. LICENCE DURATION

The duration of a Licence depends on the specific product or service purchased.

Examples include:

Personal Music Purchases

A perpetual personal licence for private, non-commercial use, subject to continued compliance with this Agreement.

Listener Subscriptions

Valid only while the subscription remains active and all subscription fees are paid.

Creator Subscriptions

Valid only while the subscription remains active and the Licensee complies with the applicable Creator Licence Agreement.

Commercial Licences

Valid for the period stated in the Commercial Licence.

Enterprise Licences

Valid for the term specified in the applicable Enterprise Agreement.

220. AUTOMATIC RENEWAL

Recurring subscriptions automatically renew at the end of each billing cycle unless:

cancelled by the Licensee before renewal;

terminated by Aureon under this Agreement; or

otherwise ended in accordance with applicable law.

Renewal is subject to successful payment of the applicable subscription fees.

221. EXPIRY OF LICENCE

A Licence automatically expires when:

the stated Licence Term ends;

a subscription expires without renewal;

the authorised project or campaign concludes, where applicable;

the Licence reaches its agreed completion date.

Upon expiry, all rights granted under the Licence immediately cease unless otherwise expressly provided.

222. TERMINATION BY THE LICENSEE

The Licensee may terminate a Licence by:

cancelling an active subscription through the Platform;

providing written notice where required under the applicable Licence;

ceasing use of the Licensed Content; and

complying with any outstanding contractual obligations.

Termination by the Licensee does not automatically entitle the Licensee to a refund except where required by applicable law or the applicable Refund & Cancellation Policy.

223. TERMINATION BY AUREON

Aureon may terminate a Licence immediately, or with such notice as Aureon considers reasonable in the circumstances, where the Licensee:

materially breaches this Agreement;

fails to pay applicable fees;

infringes Aureon's Intellectual Property Rights;

exceeds the scope of the Licence;

provides false or misleading information;

engages in fraudulent activity;

misuses Licensed Content;

breaches applicable law;

interferes with Platform security;

engages in prohibited AI training or data mining;

otherwise acts in a manner that materially harms Aureon, its artists, rights holders, users, or business operations.

224. SUSPENSION OF LICENCE

Instead of immediate termination, Aureon may suspend a Licence while investigating suspected breaches.

During suspension, Aureon may:

disable access to Licensed Content;

suspend downloads;

suspend streaming;

suspend commercial permissions;

suspend Creator rights;

restrict Account functionality;

suspend API access where applicable.

Suspension does not constitute a waiver of Aureon's rights.

225. EMERGENCY SUSPENSION

Aureon may immediately suspend a Licence where reasonably necessary to:

protect Platform security;

prevent fraud;

protect artists or rights holders;

comply with a court order;

comply with regulatory obligations;

prevent significant commercial harm;

respond to cybersecurity incidents.

Where appropriate, Aureon will notify the Licensee of the suspension.

226. EFFECT OF TERMINATION

Upon termination or expiry of a Licence, the Licensee must immediately cease any use of Licensed Content except where a perpetual personal licence expressly survives.

Where applicable, the Licensee must:

stop using the Licensed Content;

remove Licensed Content from active commercial projects where legally required;

cease distribution of new content incorporating Licensed Content unless otherwise authorised;

discontinue use of Aureon's trademarks and branding;

comply with any post-termination obligations contained in this Agreement or the applicable Licence.

Termination does not affect rights already lawfully exercised before termination unless required by law or expressly stated in the applicable Licence.

227. DELETION OF LICENSED CONTENT

Where required by the applicable Licence or following lawful termination, Aureon may require the Licensee to:

delete copies of Licensed Content under its control;

remove Licensed Content from servers;

remove Licensed Content from websites;

remove Licensed Content from applications;

cease further distribution.

The Licensee may be required to certify compliance where reasonably requested.

This obligation does not apply where the Licensee is legally entitled to retain copies under a perpetual personal licence or where retention is required by applicable law.

228. COMPLETED COMMERCIAL PROJECTS

Where Licensed Content has been lawfully incorporated into a completed commercial project during a valid Licence Term, the continued use of that completed project after Licence expiry will be governed by the specific Commercial Licence or Enterprise Agreement.

Unless expressly stated otherwise:

expiry of a subscription does not automatically authorise continued creation of new commercial projects using Licensed Content; and

additional rights may require renewal or a new licence.

229. OUTSTANDING PAYMENTS

Termination or expiry of a Licence does not release the Licensee from obligations to pay:

accrued licence fees;

subscription fees incurred before termination;

taxes;

other amounts properly due under this Agreement.

230. INVESTIGATIONS

Aureon may continue investigating suspected breaches after termination of a Licence.

Termination does not prevent Aureon from pursuing:

contractual remedies;

copyright enforcement;

recovery of damages;

injunctive relief;

other remedies available under applicable law.

231. REINSTATEMENT

Following suspension, Aureon may reinstate a Licence where:

the breach has been remedied;

outstanding payments have been received;

verification has been completed;

Aureon is satisfied that future compliance is likely.

Reinstatement is at Aureon's reasonable discretion and does not waive previous breaches.

232. ACCOUNT TERMINATION

Termination of a User Account may also result in termination of associated Licences where continued licensing depends upon an active Account.

Certain purchased rights, such as perpetual personal download licences, may continue in accordance with the applicable Licence terms.

233. RIGHTS RESERVED

Nothing in this Section limits Aureon's right to:

refuse future licence applications;

deny subscription renewals;

reject commercial licensing requests;

decline Enterprise negotiations;

enforce its Intellectual Property Rights.

234. SURVIVING PROVISIONS

The following provisions survive expiry or termination of this Agreement to the extent applicable:

Ownership of Intellectual Property;

AI, Machine Learning & Data Mining Restrictions;

Confidentiality obligations;

Payment obligations accrued before termination;

Indemnities;

Limitations of liability;

Governing law;

Dispute resolution;

Copyright protection;

Audit rights (where applicable);

Any provision that by its nature is intended to survive termination.

235. NO WAIVER

Aureon's decision not to immediately suspend or terminate a Licence following a breach does not constitute:

a waiver of the breach;

acceptance of the conduct;

a waiver of future enforcement rights.

Aureon may enforce its rights at any time, subject to applicable law.

236. OUR COMMITMENT

Aureon Music Group seeks to administer its licensing programme fairly, consistently, and transparently.

Our objective is to:

provide Licensees with certainty regarding the duration of their rights;

protect artists and rights holders from unauthorised use;

encourage voluntary compliance;

resolve issues proportionately where possible; and

preserve the integrity of Aureon's global licensing framework.

Aureon's grant of a Licence does not constitute legal advice or confirmation that a proposed use complies with local law.

243. THIRD-PARTY PLATFORMS

The Licensee acknowledges that the use of Licensed Content on third-party platforms may be subject to:

platform terms of service;

automated copyright systems;

monetisation policies;

The Licensee remains solely responsible for:

videos;

podcasts;

the total licence fees actually paid by the Licensee to Aureon during the twelve (12) months immediately preceding the event giving rise to the claim; or

EUR €100.

This limitation does not apply where such limitation is prohibited by applicable law.

247. EXCLUDED DAMAGES

Commercial outcomes depend upon numerous factors beyond Aureon's control.

Unless mandatory local law requires otherwise, this Agreement shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law principles.

The choice of Irish law does not deprive consumers of any mandatory legal protections available under the laws of the country in which they habitually reside where such protections cannot be contractually excluded.

A waiver of that provision;

A waiver of any future breach;

A waiver of any other contractual right.

Any waiver must be in writing and signed by an authorised representative of Aureon.
